Terms and Conditions — Online Advertising Europe (2025)
- Non-Binding Offers
All proposals issued by Online Advertising Europe are non-binding and valid for a period of 30 days from the date of issuance. After this period, the offer automatically expires unless otherwise agreed in writing.
- Pricing and VAT
All quoted prices are exclusive of 21% VAT, unless stated otherwise. For non-Dutch clients within the EU, VAT may be shifted under the reverse charge mechanism (subject to valid VAT registration).
- Duration and Termination of Cooperation
Each agreement is entered into for a minimum duration of six (6) months unless a different period is explicitly agreed in the signed contract (which will prevail). The first month is considered the onboarding/start-up phase. After this initial period, the agreement may be terminated monthly, provided written notice is given before the 25th of the current month. This clause does not apply to one-off or project-based assignments.
- Invoicing and Payment Terms
Invoices are issued at the beginn of each calendar month. Payments must be made within 14 days of the invoice date unless agreed otherwise in writing.
- No Performance Guarantees
While we always strive for the best possible results based on our years of experience, Online Advertising Europe does not guarantee specific outcomes. Marketing performance is influenced by various external factors, including website functionality, market trends, competitor activity, seasonality, and algorithm updates.
- Liability Limitation
Online Advertising Europe shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or profits. Liability is at all times limited to the amount paid by the client in the last two months prior to the incident.
- Delay by client
If delays occur due to the client’s failure to provide timely input, access, or approvals, Online Advertising Europe reserves the right to adjust the timeline and/or billing accordingly.
- Out-of-Scope Work
Work outside the agreed scope — including but not limited to new campaigns, additional meetings, or platform integrations — will be quoted separately and executed only after written approval from the client. This will always be communicated clearly in writing beforehand.
- Collaboration and Communication
We believe that open, transparent, and honest communication between all parties involved contributes to the best results and an enjoyable working relationship.
- Confidentiality
Both parties agree to treat all confidential information shared during the course of the collaboration as strictly confidential and not to disclose it to third parties without prior written consent.
These terms are governed by Dutch law. Any disputes will be submitted to the competent court in the district of Gelderland, the Netherlands.
These Terms and Conditions were last updated in May 2025 and apply to all agreements and services provided by Online Advertising Europe unless otherwise specified in a signed contract.
